Article L124-3 of the French Commercial code

Co-operative societies of retail traders are societies with variable capital constituted in the form of a limited liability company or a public limited company and operating in accordance with the provisions of Book II, Title III, Chapter I. They are governed by the provisions of this chapter and by the non-contradictory provisions of Book II, Titles I to IV and the loi n° 47-1775 du 10 septembre 1947 portant statut de la coopération. The provisions of Book II, Titles I to IV concerning the constitution of legal reserves are applicable to them.

Only companies and associations formed for the purpose of carrying out the operations referred to in article L. 124-1 and which comply, as regards their formation and operation, with the provisions of this chapter.

Article L124-3

Les sociétés coopératives de commerçants de détail sont des sociétés à capital variable constituées sous forme de société à responsabilité limitée ou de société anonyme et fonctionnant conformément aux dispositions du livre II, titre III, chapitre Ier. Elles sont régies par les dispositions du présent chapitre et par celles non contraires du livre II, titres Ier à IV et de la loi n° 47-1775 du 10 septembre 1947 portant statut de la coopération. Les dispositions du livre II, titres Ier à IV concernant la constitution des réserves légales leur sont applicables.

Peuvent être seules considérées comme sociétés coopératives de commerçants de détail ou unions de ces sociétés, et sont seules autorisées à prendre ce titre et à l’adjoindre à leur dénomination, les sociétés et unions constituées dans le but d’effectuer les opérations visées à l’article L. 124-1 et qui se conforment, pour leur constitution et leur fonctionnement, aux prescriptions du présent chapitre.
