Article L132-2 of the French Sports Code

With a view to ensuring the long-term future of sports associations and companies, promoting respect for sporting fairness and contributing to the economic regulation of competitions, federations which have set up a professional league shall set up a body within their federation or league with independent powers of assessment, empowered to refer matters to the competent disciplinary bodies and with the following remit:

1° To ensure the administrative, legal and financial control of sports associations and companies which are members of the federation or professional league or apply for membership of the federation or league;

2° Ensuring financial control of the activities of sports agents;

3° monitoring and assessing proposed purchases, disposals and changes of shareholders in sports companies.

Inspections of sports associations and companies may be carried out on the basis of documentary evidence and on site. Where the sports association or company is required to have its accounts certified by a statutory auditor, it shall forward the statutory auditor’s report on its annual accounts to the body referred to in the first paragraph without delay. When a statutory auditor initiates a warning procedure pursuant to Articles L. 234-1 or L. 234-2 of the Commercial Code, the company or association shall inform the body mentioned in the first paragraph of this Article without delay.

Sports agents, sports associations and companies, as well as the bodies of federations and their professional leagues, are required to provide the body mentioned in the same first paragraph with any information or documents necessary for the performance of its duties. This body may also ask any natural or legal person with any legal connection whatsoever with the sports association or company to provide it with any information or document necessary for the performance of its duties.

The records of decisions of the body referred to in the said first paragraph are made public. Each year, within nine months of the end of the sporting season as determined by the regulations of the federation or, where applicable, the professional league, this body draws up a public report outlining its activities.

En vue d’assurer la pérennité des associations et sociétés sportives, de favoriser le respect de l’équité sportive et de contribuer à la régulation économique des compétitions, les fédérations qui ont constitué une ligue professionnelle créent en leur sein un organisme, doté d’un pouvoir d’appréciation indépendant, habilité à saisir les organes disciplinaires compétents et ayant pour missions :

1° D’assurer le contrôle administratif, juridique et financier des associations et sociétés sportives qui sont membres de la fédération ou de la ligue professionnelle ou sollicitent l’adhésion à la fédération ou à la ligue ;

2° D’assurer le contrôle financier de l’activité des agents sportifs ;

3° D’assurer le contrôle et l’évaluation des projets d’achat, de cession et de changement d’actionnaires des sociétés sportives.

Les contrôles portant sur les associations et sociétés sportives peuvent être effectués sur pièces et sur place. Lorsque l’association ou la société sportive est tenue de faire certifier ses comptes par un commissaire aux comptes, elle transmet sans délai à l’organisme mentionné au premier alinéa le rapport établi par le commissaire aux comptes sur ses comptes annuels. Lorsqu’un commissaire aux comptes engage une procédure d’alerte en application des articles L. 234-1 ou L. 234-2 du code de commerce, la société ou l’association en informe sans délai l’organisme mentionné au premier alinéa du présent article.

Les agents sportifs, les associations et les sociétés sportives, ainsi que les organes des fédérations et de leurs ligues professionnelles, sont tenus de communiquer à l’organisme mentionné au même premier alinéa toute information ou tout document nécessaire à l’accomplissement de ses missions. Cet organisme peut également demander à toute personne physique ou morale ayant un lien juridique quelconque avec l’association ou la société sportive de lui communiquer toute information ou tout document nécessaire à l’accomplissement de ses missions.

Les relevés de décisions de l’organisme mentionné audit premier alinéa sont rendus publics. Cet organisme établit chaque année, dans les neuf mois qui suivent la fin de la saison sportive telle qu’elle est déterminée par le règlement de la fédération ou, le cas échéant, de la ligue professionnelle, un rapport public faisant état de son activité.
