Article L213-11 of the French Monetary and Financial Code

For each bond issue, the association must provide subscribers with a notice setting out the terms of the issue and an information document. This document covers, in particular, the organisation, the amount of equity at the end of the previous financial year, the financial situation and the development of the association’s activities.

The information that must appear on these documents is set by decree, and the figures are approved by an auditor chosen from the list provided for in I of article L. 822-1 of the French Commercial Code.

Lors de chaque émission d’obligations, l’association doit mettre à la disposition des souscripteurs une notice relative aux conditions de l’émission et un document d’information. Ce document porte notamment sur l’organisation, le montant atteint par les fonds propres à la clôture de l’exercice précédent, la situation financière et l’évolution de l’activité de l’association.

Les mentions qui doivent figurer sur ces documents sont fixées par décret, leurs éléments chiffrés sont visés par un commissaire aux comptes choisi sur la liste prévue par le I de l’article L. 822-1 du code de commerce.
