Article L214-111 of the French Monetary and Financial Code

The merger is carried out under the supervision of the statutory auditors of each of the companies involved. The draft terms of merger shall be communicated to them at least forty-five days before the Extraordinary General Meetings called to vote on the transaction.

The statutory auditors draw up a report on the terms and conditions of the merger.

The statutory auditors shall perform their duties under the same conditions as those applicable to the merger auditors pursuant to article L. 236-10 of the French Commercial Code.

L’opération de fusion s’effectue sous le contrôle des commissaires aux comptes de chacune des sociétés concernées. Le projet de fusion leur est communiqué au moins quarante-cinq jours avant les assemblées générales extraordinaires appelées à se prononcer sur l’opération.

Les commissaires aux comptes établissent un rapport sur les conditions de réalisation de l’opération de fusion.

La mission des commissaires aux comptes s’exerce dans les mêmes conditions que celles prévues pour les commissaires à la fusion en application de l’article L. 236-10 du code de commerce.
