Article L23-10-11 of the French Commercial code

The transfer is again subject to articles L. 23-10-7 to L. 23-10-9when it occurs more than two years after the expiry of the period provided for in article L. 23-10-7.

If during this two-year period the works council is consulted, pursuant to article L. 2323-33 of the French Labour Code, on a proposed transfer of the items covered by the notification provided for in Article L. 23-10-7, the two-year period is suspended between the date on which the matter is referred to the committee and the date on which it gives its opinion or, failing that, until the date on which the period allowed for giving this opinion expires.

The two-year period is suspended until the date on which the matter is referred to the committee.

La cession est de nouveau soumise aux articles L. 23-10-7 à L. 23-10-9 lorsqu’elle intervient plus de deux ans après l’expiration du délai prévu à l’article L. 23-10-7.

Si pendant cette période de deux ans le comité d’entreprise est consulté, en application de l’article L. 2323-33 du code du travail, sur un projet de cession des éléments faisant l’objet de la notification prévue à l’article L. 23-10-7, le cours de ce délai de deux ans est suspendu entre la date de saisine du comité et la date où il rend son avis et, à défaut, jusqu’à la date où expire le délai imparti pour rendre cet avis.
