Article L233-33 of the French Commercial code

I. – By way of derogation from I of Article L. 233-32, the articles of association of a company whose shares are admitted to trading on a regulated market may provide that, during a takeover bid, the measures provided for in I and II of the same Article L. 233-32 must be authorised in advance by the General Meeting and that any delegation of a measure, the implementation of which is likely to cause the bid to fail, other than the seeking of other bids, granted by the General Meeting before the bid period, is suspended during a public bid period.

II. – Notwithstanding Article L. 233-32, the articles of association of a company whose shares are admitted to trading on a regulated market may provide that, during a public offer period, any decision by the Board of Directors, the Management Board after authorisation by the Supervisory Board, the Chief Executive Officer or one of the Deputy Chief Executive Officers, taken before the offer period, which is not fully or partially implemented, which does not form part of the normal course of the company’s business and whose implementation is likely to cause the offer to fail must be subject to approval or confirmation by the General Meeting.

III. – The articles of association may provide that I and II of this article apply to any bid or only where the bid is initiated by entities, acting alone or in concert within the meaning of article L. 233-10, or which are respectively controlled, within the meaning of II or III of l’article L. 233-16, by entities, including the board of directors, the supervisory board, with the exception of their power of appointment, the management board, the chief executive officer or one of the deputy chief executive officers of the target company must also obtain the prior approval of the general meeting to take any measure the implementation of which is likely to cause the bid to fail, with the exception of seeking alternative bids.

I. ― Par dérogation au I de l’article L. 233-32, les statuts d’une société dont des actions sont admises à la négociation sur un marché réglementé peuvent prévoir que, en période d’offre publique, les mesures prévues aux I et II du même article L. 233-32 doivent être autorisées préalablement par l’assemblée générale et que toute délégation d’une mesure dont la mise en œuvre est susceptible de faire échouer l’offre, hormis la recherche d’autres offres, accordée par l’assemblée générale avant la période d’offres, est suspendue en période d’offre publique.

II. ― Par dérogation au I dudit article L. 233-32, les statuts d’une société dont des actions sont admises à la négociation sur un marché réglementé peuvent prévoir que, en période d’offre publique, toute décision du conseil d’administration, du directoire après autorisation du conseil de surveillance, du directeur général ou de l’un des directeurs généraux délégués, prise avant la période d’offres, qui n’est pas totalement ou partiellement mise en œuvre, qui ne s’inscrit pas dans le cours normal des activités de la société et dont la mise en œuvre est susceptible de faire échouer l’offre doit faire l’objet d’une approbation ou d’une confirmation par l’assemblée générale.

III. ― Les statuts peuvent prévoir que les I et II du présent article s’appliquent à toute offre ou uniquement lorsque l’offre est engagée par des entités, agissant seules ou de concert au sens de l’article L. 233-10, ou qui sont respectivement contrôlées, au sens des II ou III de l’article L. 233-16, par des entités, dont le conseil d’administration, le conseil de surveillance, à l’exception de leur pouvoir de nomination, le directoire, le directeur général ou l’un des directeurs généraux délégués de la société visée doivent également obtenir l’approbation préalable de l’assemblée générale pour prendre toute mesure dont la mise en œuvre est susceptible de faire échouer l’offre, hormis la recherche d’autres offres.
