Article L236-2 of the French Commercial code

A merger may be carried out between companies of different forms.

It is decided, by each of the companies concerned, under the conditions required for the amendment of its Articles of Association.

If the merger involves the creation of a new company, each new company is formed in accordance with the rules specific to the form of company adopted.

Une fusion peut être réalisée entre des sociétés de forme différente.

Elle est décidée, par chacune des sociétés intéressées, dans les conditions requises pour la modification de ses statuts.

Si la fusion comporte la création d’une société nouvelle, chacune de celles-ci est constituée selon les règles propres à la forme de société adoptée.
