Article L236-27 of the French Commercial code

The company transferring part of its assets and, where applicable, part of its liabilities to one or more existing or new companies and the company or companies benefiting from the transfer may decide by mutual agreement to make the transaction subject to the provisions of Section 2 of this chapter, to the exclusion of Subsection 2 where the companies are not concerned by the latter.

Where the first paragraph is applied, the draft terms referred to in Article L. 236-6 may provide that the units or shares of the company contributing part of its assets, of the beneficiary company or companies, or of both the company contributing part of its assets and the beneficiary company or companies representing the consideration for the contribution, will be allocated directly to the members of the company contributing part of its assets under conditions laid down by decree in the Conseil d’Etat.

Article L236-27

La société qui apporte une partie de son actif et, le cas échéant, une partie de son passif à une ou plusieurs sociétés existantes ou nouvelles et la ou les sociétés qui bénéficient de cet apport peuvent décider d’un commun accord de soumettre l’opération aux dispositions de la section 2 du présent chapitre, à l’exclusion de sa sous-section 2 lorsque les sociétés ne sont pas concernées par cette dernière.

Lorsqu’il est fait application du premier alinéa, le projet mentionné à l’article L. 236-6 peut prévoir que les parts ou actions de la société qui apporte une partie de son actif, de la ou des sociétés bénéficiaires ou à la fois de la société qui apporte une partie de son actif et de la ou des sociétés bénéficiaires représentant la contrepartie de l’apport seront attribuées directement aux associés de la société qui apporte une partie de son actif dans des conditions prévues par décret en Conseil d’Etat.
