Article L2362-12 of the French Labour Code

Where the European Cooperative Society is formed by the transformation of a cooperative, the agreement shall provide for a level of information, consultation and participation at least equivalent to that existing in the cooperative which is to be transformed.

An agreement concluded in breach of the provisions of the first paragraph shall be null and void. In such a case, the provisions of Chapter III of this Title relating to the involvement of employees in the absence of an agreement apply.

Lorsque la société coopérative européenne est constituée par transformation d’une coopérative, l’accord prévoit un niveau d’information, de consultation et de participation au moins équivalent à celui qui existe dans la coopérative qui doit être transformée.

L’accord conclu en violation des dispositions du premier alinéa est nul. Dans un tel cas, les dispositions du chapitre III du présent titre relatives à l’implication des salariés en l’absence d’accord s’appliquent.
