Article L253-1 of the French Commercial code

It is prohibited for any person or entity to make an offer to the public, within the meaning of Regulation (EU) No 2017/1129 of 14 June 2017, of the membership rights of an economic interest grouping or a European economic interest grouping referred to in Articles L. 251-3 and L. 252-3, on pain of nullity of contracts entered into or rights created.

Notwithstanding the provisions of the previous paragraph, the public offer of these rights is authorised if it meets the characteristics of the offers defined in 1° or in 3° of Article L. 411-2 of the Monetary and Financial Code.

Article L253-1

Il est interdit à toute personne ou entité de procéder à une offre au public, au sens du règlement (UE) n° 2017/1129 du 14 juin 2017, portant sur les droits de membre d’un groupement d’intérêt économique ou d’un groupement européen d’intérêt économique mentionnés aux articles L. 251-3 et L. 252-3, à peine de nullité des contrats conclus ou des droits créés.

Nonobstant les dispositions de l’alinéa précédent, l’offre au public de ces droits est autorisée si elle répond aux caractéristiques des offres définies au 1° ou au 3° de l’article L. 411-2 du code monétaire et financier.
