Article L322-27-2 of the French Insurance Code

I. – The central body is responsible for ensuring the cohesion and smooth running of the network. It exercises administrative, technical and financial control over the organisation and management of the Network’s bodies. It sets the strategic guidelines for the network, issues all necessary instructions and ensures that they are effectively implemented. It also takes all necessary measures to guarantee the solvency and compliance with the commitments of each of the entities in the network and of the group as a whole.

II – The appointment of the Chief Executive Officers of the entities in the network is subject to the approval of the central body.

III – Without prejudice to the powers of its Board of Directors, in the event that a member of the network takes decisions which do not comply with the legislative or regulatory provisions relating to insurance and reinsurance companies or with the instructions given by the central body, the latter may dismiss the general manager of the member in question. The central body may also, on the same grounds, collectively dismiss the members of the board of directors of that undertaking.

IV – Without prejudice to the provisions of III, in the event that a body with local competence within the network takes decisions which undermine the cohesion and smooth operation of the network, the agricultural mutual insurance or reinsurance company or fund with which it is reinsured may, after consulting the central body, collectively dismiss the members of its board of directors.

V. – A decree of the Conseil d’Etat shall specify the terms and conditions for the application of this article, in particular the conditions for the performance of the central body’s duties.

I. ― L’organe central est chargé de veiller à la cohésion et au bon fonctionnement du réseau. Il exerce un contrôle administratif, technique et financier sur l’organisation et la gestion des organismes du réseau. Il fixe les orientations stratégiques de ce dernier, émet toutes instructions utiles à cet effet et veille à leur application effective. Il prend également toutes mesures nécessaires pour garantir la solvabilité et le respect des engagements de chacun des organismes du réseau comme de l’ensemble du groupe.

II. ― La nomination des directeurs généraux des organismes du réseau est soumise à l’approbation de l’organe central.

III. ― Sans préjudice des pouvoirs de son conseil d’administration, dans le cas où un organisme du réseau prend des décisions non conformes aux dispositions législatives ou réglementaires relatives aux sociétés d’assurances et de réassurances ou aux instructions données par l’organe central, ce dernier peut révoquer le directeur général de l’organisme en question. L’organe central peut également, pour les mêmes motifs, procéder à la révocation collective des membres du conseil d’administration de cet organisme.

IV. ― Sans préjudice des dispositions du III, dans le cas où un organisme à compétence locale du réseau prend des décisions portant atteinte à la cohésion et au bon fonctionnement de ce dernier, la société ou la caisse d’assurances ou de réassurances mutuelle agricole auprès de laquelle il se réassure peut, après avis de l’organe central, procéder à la révocation collective des membres de son conseil d’administration.

V. ― Un décret en Conseil d’Etat précise les modalités d’application du présent article, notamment les conditions d’exercice des missions de l’organe central.
