Article L4253-3 of the French General Code of Local Authorities

A region may, alone or with other local authorities, participate in the capital of a credit institution or finance company in the form of a public limited company governed by the provisions of Book II of the Commercial Code and whose sole purpose is to guarantee financial assistance granted to private individuals, and in particular to newly created businesses, where one or more commercial companies, including at least one credit institution or finance company governed by the provisions of Chapter I of Title I of Book V of the Monetary and Financial Code, also participate in the capital of this credit institution or finance company.

The region may participate by paying subsidies to set up guarantee funds with the institution or company mentioned in the previous paragraph or the public limited company Bpifrance. The region shall enter into an agreement with the credit institution or finance company or the public limited company Bpifrance, determining in particular the purpose, amount and operation of the guarantee fund as well as the conditions for repayment of subsidies paid in the event of modification or cessation of activity of this fund.

The participation of the regions on the board of directors of the establishment or company constituted in the form of a public limited company mentioned in the first paragraph of this article is regulated as follows:

-where a single region is a shareholder in this public limited company, it has one seat on the board of directors of this company;

-where several regions are shareholders in this public limited company, the number of seats they have on the board of directors takes into account the capital held without this number being less than one seat or more than six.

A decree in the Conseil d’Etat determines the maximum proportion of the capital of the credit institution or finance company that may be held by the regional and local authorities, as well as the terms and conditions for granting guarantees, and in particular the percentage guaranteed by the institution or company.

Une région peut, seule ou avec d’autres collectivités territoriales, participer au capital d’un établissement de crédit ou d’une société de financement revêtant la forme de société anonyme régie par les dispositions du livre II du code de commerce et ayant pour objet exclusif de garantir les concours financiers accordés à des personnes privées, et notamment à des entreprises nouvellement créées, dès lors qu’une ou plusieurs sociétés commerciales, dont au moins un établissement de crédit ou une société de financement régi par les dispositions du chapitre Ier du titre Ier du livre V du code monétaire et financier, participent également au capital de cet établissement de crédit ou de cette société de financement.

La région peut participer par versement de subventions à la constitution de fonds de garantie auprès de l’établissement ou de la société mentionné à l’alinéa précédent ou de la société anonyme Bpifrance. La région passe avec l’établissement de crédit ou la société de financement ou la société anonyme Bpifrance, une convention déterminant notamment l’objet, le montant et le fonctionnement du fonds de garantie ainsi que les conditions de restitution des subventions versées en cas de modification ou de cessation d’activité de ce fonds.

La participation des régions au conseil d’administration de l’établissement ou de la société constituée sous forme de société anonyme mentionnés au premier alinéa du présent article est réglée comme suit :

-dans le cas où une seule région est actionnaire de cette société anonyme, elle dispose d’un siège au conseil d’administration de cette société ;

-lorsque plusieurs régions sont actionnaires de cette société anonyme, le nombre de sièges dont elles disposent au conseil d’administration tient compte du capital détenu sans que ce nombre puisse être inférieur à un siège ni supérieur à six.

Un décret en Conseil d’Etat détermine la proportion maximale de capital de l’établissement de crédit ou de la société de financement susceptible d’être détenue par les collectivités territoriales, ainsi que les modalités d’octroi des garanties, et notamment la quotité garantie par l’établissement ou la société.
