Article R1232-4 of the French General Code of Local Authorities

The Board of Directors deliberates in particular on:

1° The initial budget and any amendments to it, loans, the financial account and the allocation of the year’s income;

3° The creation, sale or abolition of subsidiaries and the acquisitions, extensions and sales of holdings referred to in Article L. 1233-2;

4° The general conditions governing the organisation and operation of the Agency, including the establishment’s internal regulations and its own internal regulations, which define its organisational and operational conditions and specify the procedures for preventing conflicts of interest;

> 5° The general conditions governing recruitment, training and career development, including the establishment’s internal regulations and its own internal regulations, which define its organisational and operational conditions and specify the procedures for preventing conflicts of interest
5° The general terms and conditions of recruitment, employment and remuneration of staff;

> The general terms and conditions of recruitment, employment and remuneration of staff
6° The agreements entered into with the State and the public establishments referred to in Article L. 1233-3, as well as the assessment of their implementation drawn up at the end of each calendar year;

7° The annual report on its activities;

8° Legal proceedings and, above a threshold it shall determine, settlements;

9° The acceptance or refusal of gifts and legacies;

10° The agreements necessary for the operation of the agency and its contracts.
The Board of Directors may delegate all or some of the powers referred to in 3°, 8°, 9° and 10° to the Managing Director of the Agency, under the conditions it shall determine. The Director General shall report to the next meeting of the Board of Directors on the decisions he has taken by virtue of this delegation.

Article R1232-4

Le conseil d’administration délibère notamment sur :


1° Le budget initial et ses modifications, les emprunts, le compte financier et l’affectation du résultat de l’exercice ;


2° Les orientations générales de l’établissement et des programmes d’appui territorialisés ;


3° Les créations, cessions ou suppressions de filiales et les acquisitions, extensions et cessions de participations mentionnées à l’article L. 1233-2 ;


4° Les conditions générales d’organisation et de fonctionnement de l’Agence, dont le règlement intérieur de l’établissement ainsi que son propre règlement intérieur qui définit ses conditions d’organisation et de fonctionnement et précise les modalités de prévention des conflits d’intérêts ;


5° Les conditions générales de recrutement, d’emploi et de rémunération du personnel ;


6° Les conventions passées avec l’Etat et les établissements publics mentionnées à l’article L. 1233-3 ainsi que le bilan de leur mise en œuvre dressé à la fin de chaque année civile ;


7° Le rapport annuel d’activité ;


8° Les actions en justice et, au-delà d’un seuil qu’il détermine, les transactions ;


9° L’acceptation ou le refus des dons et legs ;


10° Les conventions nécessaires au fonctionnement de l’agence et ses marchés.


Le conseil d’administration peut déléguer tout ou partie des compétences mentionnées aux 3°, 8°, 9° et 10° au directeur général de l’agence, dans les conditions qu’il détermine. Le directeur général rend compte, lors de la plus prochaine séance du conseil d’administration, des décisions qu’il a prises en vertu de cette délégation.
