Article R1431-2 of the French General Code of Local Authorities

The Articles of Association of the public establishment for cultural or environmental cooperation define the tasks of the establishment, its administrative or industrial and commercial nature, its organisational and operational rules, the number and distribution of seats on the Board of Directors, the terms of office of its members and the procedures for their renewal, as well as the procedures for electing staff and, where applicable, student representatives. They provide for the respective contributions and the respective share of the financial contributions of each of the public entities that are members of the institution, and the provision of assets necessary for its operation as well as the provisions relating to the transfer of staff when the creation of the institution results from the transformation of an existing structure.

The order provided for in article R. 1431-1 sets the respective dates on which the contributions and the making available of assets, as well as the transfers of personnel mentioned in the previous paragraph, become effective.

Les statuts de l’établissement public de coopération culturelle ou environnementale définissent les missions de l’établissement, son caractère administratif ou industriel et commercial, ses règles d’organisation et de fonctionnement, le nombre et la répartition des sièges au sein du conseil d’administration, la durée des mandats de ses membres et les modalités de leur renouvellement ainsi que les modalités d’élection des représentants du personnel et, le cas échéant, des étudiants. Ils prévoient les apports respectifs et la part respective des contributions financières de chacune des personnes publiques membres de l’établissement, et les mises à disposition de biens nécessaires à son fonctionnement ainsi que les dispositions relatives au transfert des personnels lorsque la création de l’établissement résulte de la transformation d’une structure existante.

L’arrêté prévu à l’article R. 1431-1 fixe les dates respectives auxquelles les apports et les mises à disposition de biens ainsi que les transferts de personnels mentionnés à l’alinéa précédent deviennent effectifs.

Les statuts sont approuvés à l’unanimité des membres qui constituent l’établissement.
