Article R212-19 of the French Cinema and Moving Image Code

The agreement establishing a programming agreement :
1° Designates a member to act as the lead company;
2° Provides that the lead company is delegated the task of entering into contracts with distributors of cinematographic works on behalf of all the members of the agreement and that this delegation is accompanied by financial responsibility for the proper performance of contracts or, failing this, joint and several liability on the part of each of the members of the agreement for commitments entered into with distributors of cinematographic works;
3° Provides for a general meeting to be held at least once a year, at which a moral, administrative and financial report on the previous financial year is examined.

La convention constitutive d’une entente de programmation :
1° Désigne un membre qui joue le rôle d’entreprise pilote ;
2° Prévoit que l’entreprise pilote se trouve déléguée dans la mission de contracter avec les distributeurs d’œuvres cinématographiques pour l’ensemble des membres de l’entente et que cette délégation est assortie d’une responsabilité pécuniaire concernant la bonne exécution des contrats ou, à défaut, d’une responsabilité solidaire de chacun des membres de l’entente à l’égard des engagements contractés envers les distributeurs d’œuvres cinématographiques ;
3° Prévoit la réunion, au moins une fois par an, d’une assemblée générale au cours de laquelle est examiné un rapport moral, administratif et financier sur l’exercice écoulé.
