Article R224-15 of the French Monetary and Financial Code

The association’s articles of association stipulate that an extraordinary general meeting must be called to decide on :

1° Renewal of the policy taken out with the insurance company. The resolution report relating to this renewal sets out the reasons which led the Supervisory Committee to propose this resolution;

2° The choice of a new manager. The corresponding resolution report sets out the reasons which led the Supervisory Committee to propose the change of manager, the latter’s opinion on this resolution as well as the procedure for selecting the new manager and the reasons which led the Supervisory Committee to retain the proposed candidate;

3° Closure of the plan, after consultation with the insurance undertaking. The corresponding resolution report includes the opinion of the insurance company and sets out the conditions for transferring the rights registered under the said plan to another retirement savings plan.

Les statuts de l’association prévoient qu’une assemblée générale est convoquée à titre extraordinaire pour statuer sur :

1° La reconduction du contrat souscrit auprès de l’entreprise d’assurance. Le rapport de résolution relatif à cette reconduction expose les motifs qui ont conduit le comité de surveillance à proposer cette résolution ;

2° Le choix d’un nouveau gestionnaire. Le rapport de résolution correspondant expose les motifs qui ont conduit le comité de surveillance à proposer le changement de gestionnaire, l’avis de ce dernier sur cette résolution ainsi que la procédure de sélection du nouveau gestionnaire et les motifs qui ont conduit le comité de surveillance à retenir le candidat proposé ;

3° La fermeture du plan, après avis de l’entreprise d’assurance. Le rapport de résolution correspondant comprend l’avis de l’entreprise d’assurance et prévoit les conditions de transfert des droits enregistrés au titre dudit plan à un autre plan d’épargne retraite.
