Article R54-3 of the French Code of Criminal Procedure

The Board of Directors regulates the business of the institution through its deliberations.

It deliberates in particular on:

<1° The general programmes of activity of the public establishment;

2° The general conditions for the award of contracts, agreements and procurement contracts of the establishment, as well as public service delegations and contracts of objectives to be concluded with the State;

3° The budget of the public establishment and its amending decisions, the financial account and the allocation of results;

4° The general conditions of recruitment, employment and remuneration of staff;

5° Authorisation to institute legal proceedings and to negotiate and conclude settlements, except in emergencies;

6° The general organisation of the establishment;

7° Its internal regulations;

8° The establishment’s annual activity report.

The Board of Directors may delegate to the Chief Executive Officer some of the powers provided for in this article, with the exception of the matters mentioned in 2°, 3°, 7° and 8°, within the limits set by the internal regulations.

Decisions relating to the budget and the financial account are enforceable under the conditions laid down in Title III of Decree no. 2012-1246 of 7 November 2012 relating to public budgetary and accounting management.

Article R54-3

Le conseil d’administration règle par ses délibérations les affaires de l’établissement.

Il délibère notamment sur :

1° Les programmes généraux d’activité de l’établissement public ;

2° Les conditions générales de passation des contrats, conventions et marchés de l’établissement, ainsi que sur les délégations de service public et contrats d’objectifs à conclure avec l’Etat ;

3° Le budget de l’établissement public et ses décisions modificatives, le compte financier et l’affectation des résultats ;

4° Les conditions générales de recrutement, d’emploi et de rémunération du personnel ;

5° L’autorisation d’engager des actions en justice, de négocier et conclure les transactions, sauf urgence ;

6° L’organisation générale de l’établissement ;

7° Son règlement intérieur ;

8° Le rapport annuel d’activité de l’établissement.

Le conseil d’administration peut déléguer au directeur général certaines des compétences prévues au présent article, à l’exception des matières mentionnées aux 2°, 3°, 7° et 8°, dans les limites fixées par le règlement intérieur.

Les délibérations portant sur le budget et le compte financier sont exécutoires dans les conditions prévues par le titre III du décret n° 2012-1246 du 7 novembre 2012 relatif à la gestion budgétaire et comptable publique.
