Article R6223-13 of the French Public Health Code

Without prejudice to the provisions of law no. 66-879 of 29 November 1966 relating to professional non-trading companies and of this section relating to the information that they must contain, the company’s articles of association must state :

1° The surname, forenames, professional title and domicile of each partner and, where applicable, his registration with the professional body to which he belongs;

2° The term for which the company is formed;

3° The address of the registered office, which is that of the laboratory;

4° The nature and valuation of each of the partners’ contributions;

5° The amount of the share capital, the number, nominal value and distribution of the shares representing this capital;

6° A statement that the contributions contributing to the formation of the share capital have been paid up in full or in part;

7° The number of shares allocated to each contributor in kind.

The Articles of Association must not contain any clause that seeks to obtain a minimum return from the members or that is likely to affect the user’s freedom of choice.

Sans préjudice des dispositions de la loi n° 66-879 du 29 novembre 1966 relative aux sociétés civiles professionnelles et de la présente section relatives aux mentions qu’ils comportent nécessairement, les statuts de la société indiquent :

1° Les nom, prénoms, titres professionnels et domicile de chaque associé avec, selon le cas, l’inscription à l’ordre dont il relève ;

2° La durée pour laquelle la société est constituée ;

3° L’adresse du siège social qui est celle du laboratoire ;

4° La nature et l’évaluation de chacun des apports des associés ;

5° Le montant du capital social, le nombre, le montant nominal et la répartition des parts sociales représentatives de ce capital ;

6° L’affirmation de la libération totale ou partielle des apports concourant à la formation du capital social ;

7° Le nombre des parts sociales attribuées à chaque apporteur en industrie.

Les statuts ne doivent comporter aucune clause tendant à obtenir des associés un rendement minimum ou propre à porter atteinte à la liberté de choix de l’usager.
