Article R645-5 of the French Commercial code

I.-The court clerk shall attach to the copy of the judgment referred to in Article R. 645-4 a document reproducing the terms of II of this article, as well as:

1° Those of articles L. 645-4, L. 812-2, L. 814-5, L. 814-10, R. 814-24 and R. 814-38, if the mandataire judiciaire is a person chosen on the basis of the first paragraph of II of Article L. 812-2;

2° Those of Articles L. 645-4, L. 812-2, L. 812-8-1, L. 814-5, L. 814-10-1, L. 814-10-2, R. 814-24 and R. 814-41-1, if the judicial representative is a person chosen on the basis of III of Article L. 812-2.

II.-Where the judicial representative appointed by the court is a person referred to in II or III of Article L. 812-2, the latter shall send without delay the attestation on their honour provided for in the third paragraph of II of this Article, proof of the guarantee and insurance provided for in Article L. 814-5 as well as the name of the statutory auditor auditing their special accounts in application, as the case may be, of Article L. 811-11-1 or III of Article L. 814-10-1.

III.-For the application of the third paragraph of III of article L. 812-2, a copy of this certificate is sent to the magistrate of the public prosecutor’s office in charge of inspections of the court of appeal within whose jurisdiction the person has his professional domicile.

Article R645-5

I.-Le greffier joint à la copie du jugement mentionnée à l’article R. 645-4 un document reproduisant les termes du II du présent article, ainsi que :

1° Ceux des articles L. 645-4, L. 812-2, L. 814-5, L. 814-10, R. 814-24 et R. 814-38, si le mandataire judiciaire est une personne choisie sur le fondement du premier alinéa du II de l’article L. 812-2 ;

2° Ceux des articles L. 645-4, L. 812-2, L. 812-8-1, L. 814-5, L. 814-10-1, L. 814-10-2, R. 814-24 et R. 814-41-1, si le mandataire judiciaire est une personne choisie sur le fondement du III de l’article L. 812-2.

II.-Lorsque le mandataire judiciaire désigné par le tribunal est une personne mentionnée au II ou III de l’article L. 812-2, celle-ci adresse sans délai l’attestation sur l’honneur prévue au troisième alinéa du II de cet article, la justification de la garantie et de l’assurance prévues à l’article L. 814-5 ainsi que le nom du commissaire aux comptes assurant le contrôle de sa comptabilité spéciale en application, selon le cas, de l’article L. 811-11-1 ou du III de l’article L. 814-10-1.

III.-Pour l’application du troisième alinéa du III de l’article L. 812-2, la copie de cette attestation est adressée au magistrat du parquet général chargé des inspections de la cour d’appel dans le ressort de laquelle la personne a son domicile professionnel.
