Article R712-31 of the French Commercial code

The authorisation of the acts mentioned in 2° of Article R. 712-7 is valid for a period of one year from the date of approval of the deliberations relating to these acts. At the end of this period, if the loan, lease or bond issue has not been contracted or raised, the authorisation must be renewed. However, where the loan relates to a port or airport concession, the deadline is extended to 31 December of the second year following the year of approval.

The authorisation may provide for the loan to be drawn down over more than one year, in successive instalments, where the works are to be carried out in stages.

L’autorisation des actes mentionnés au 2° de l’article R. 712-7 est valable pour une durée d’un an à compter de la date d’approbation des délibérations relatives à ces actes. A l’issue de ce délai, si l’emprunt, le crédit-bail ou l’émission d’obligation n’ont pas été contractés ou si l’emprunt n’a pas été mobilisé, l’autorisation doit être renouvelée. Toutefois, lorsque l’emprunt concerne une concession portuaire ou aéroportuaire, le délai est porté au 31 décembre de la deuxième année suivant celle de l’approbation.

L’autorisation peut prévoir la mobilisation échelonnée de l’emprunt sur plus d’un an, par tranches successives, lorsque les travaux doivent être réalisés par étapes.
