The Supervisory Board meets at least twice a year, and as often as necessary, when convened by its Chairman, either at the latter’s initiative or at the request of half of its members.
The Chairman may decide that a meeting of the Supervisory Board is to be organised remotely in accordance with the conditions set out in Order no. 2014-1329 of 6 November 2014 relating to remote deliberations by administrative bodies of a collegiate nature.
No deliberation shall be valid unless at least five members, whether full members or alternates, are actually present. If the Supervisory Board meeting is organised remotely, this condition is deemed to be met if at least five members take part in the meeting. Each member may give a proxy to another member to represent him. No member may hold more than two proxies.
In exceptional circumstances, the Supervisory Board may deliberate by means of written or electronic consultation, in accordance with the conditions set out in Decree no. 2014-1627 of 26 December 2014 relating to the organisation of remote deliberations of administrative bodies of a collegiate nature.
Decisions are taken by a majority of the votes of the members present or represented or, in the case of written or electronic consultation, of the members having taken part in the vote. In the event of a tie, the Chairman shall have the casting vote.
