Article R822-5 of the French Consumer Code

The Board of Directors elects from among its members, for the duration of the term of office of its members, a Chairman and a Vice-Chairman, the latter automatically replacing the absent or impeded Chairman.

The age limit applicable to the Chairman is set at seventy-two years.

If the Chairman or Vice-Chairman ceases to hold office during his term, a successor shall be elected under the same conditions for the remainder of the term.

The chairman is chosen from among the members designated in 2° of article R. 822-4 and the vice-chairman from among the members designated in 1° of the same article.

Article R822-5

Le conseil d’administration élit en son sein, pour la durée du mandat de ses membres, un président et un vice-président, ce dernier remplaçant de droit le président absent ou empêché.

La limite d’âge applicable au président est fixée à soixante-douze ans.

En cas de cessation des fonctions du président ou du vice-président en cours de mandat, un successeur est élu dans les mêmes conditions pour la durée du mandat restant à courir.

Le président est choisi parmi les membres désignés au 2° de l’article R. 822-4 et le vice-président parmi les membres désignés au 1° du même article.
