Standard model of the co-undividary’s agreement in the event of the allocation of undivided property by a sole trader with limited liability

I, the undersigned (surname and forename, date and place of birth, domicile),

undivided owner with Mr./I hereby declare, in accordance with article L. 526-11 of the French Commercial Code:

– that I give my agreement to the allocation by Mr./Mrs.Mr/Mrs (delete as appropriate) (surname and first name of the sole trader with limited liability sole trader with limited liability carrying on business under the name EIRL (to be completed), of the undivided property(ies) mentioned above, to his professional activity;

– having been informed that creditors against whom the declaration of assignment may be enforced and whose rights have arisen in connection with the exercise of the professional activity to which an estate comprising the aforementioned undivided asset(ies) is assigned have as their sole general pledge the assigned estate;

– having been informed that the same undivided asset can only be part of a single assigned estate.

Je soussigné (nom et prénom, date et lieu de naissance, domicile),

propriétaire indivis avec M./Mme (rayer la mention inutile) (nom et prénom de l’entrepreneur individuel à responsabilité limitée) du (des) bien(s) suivants :

(lister le[s] bien[s] indivis affecté[s])

déclare, conformément à l’article L. 526-11 du code de commerce :

― donner mon accord à l’affectation par M./Mme (rayer la mention inutile) (nom et prénom de l’entrepreneur individuel à responsabilité limitée entrepreneur individuel à responsabilité limitée exerçant sous la dénomination EIRL (à compléter), du (des) bien(s) indivis susmentionné(s), à son activité professionnelle ;

― avoir été informé(e) que les créanciers auxquels la déclaration d’affectation est opposable et dont les droits sont nés à l’occasion de l’exercice de l’activité professionnelle à laquelle un patrimoine comprenant le(s) bien(s) indivis susmentionné(s) est affecté ont pour seul gage général le patrimoine affecté ;

― avoir été informé(e) qu’un même bien indivis ne peut entrer dans la composition que d’un seul patrimoine affecté.
