Article L123-5-2 of the French Commercial code

When the directors of a commercial company processing agricultural products, marketing food products, operating, directly or indirectly, one or more retail shops selling mass-market products or operating in the distribution sector as a central referencing or purchasing office for retail businesses do not file their accounts under the conditions and within the time limits laid down in articles L. 232-21 to L. 232-23, the president of the commercial court may issue an injunction to that company to do so within a short period of time subject to a fine. The amount of this penalty payment may not exceed 2% of the company’s average daily turnover excluding tax in France in respect of this activity, for each day of delay from the date set by the injunction.

Lorsque les dirigeants d’une société commerciale transformant des produits agricoles, commercialisant des produits alimentaires, exploitant, directement ou indirectement, un ou plusieurs magasins de commerce de détail de produits de grande consommation ou intervenant dans le secteur de la distribution comme centrale de référencement ou d’achat d’entreprises de commerce de détail ne procèdent pas au dépôt des comptes dans les conditions et délais prévus aux articles L. 232-21 à L. 232-23, le président du tribunal de commerce peut adresser à cette société une injonction de le faire à bref délai sous astreinte. Le montant de cette astreinte ne peut excéder 2 % du chiffre d’affaires journalier moyen hors taxes réalisé en France par la société au titre de cette activité, par jour de retard à compter de la date fixée par l’injonction.
