Annexed to the constitutive contract or to the articles of association, as the case may be, are rules of procedure.
The constitutive contract or the articles of association, as well as the rules of procedure, may only be amended by the meeting, or the general meeting, as the case may be, acting by an absolute majority in number of the members of the grouping or company, or, if the constitutive contract or the articles of association so provide, by a greater majority. The same applies to decisions concerning approval or exclusion.
Other decisions are taken under the conditions specific to each of the forms provided for in Article L. 125-2. However, notwithstanding the provisions of Book II, the Articles of Association of a société anonyme à capital variable (public limited company with variable capital) formed pursuant to this chapter may stipulate that each shareholder shall have one vote at the General Meeting, regardless of the number of shares held.
