Members of the collective management organisation may give a mandate to another member to represent them at the general meeting and to vote on their behalf, provided that this appointment does not create a conflict of interest, in particular where the principal and the agent belong to different categories of right holders within the organisation.
Each mandate is valid for one General Meeting only. The proxy holder enjoys the same rights as the member who appointed him/her would have enjoyed at the General Meeting. The proxy holder votes in accordance with any voting instructions given by the member who appointed him/her.
The Articles of Association and the General Regulations may provide for restrictions on the appointment of proxies and on the exercise of the voting rights of the members they represent, and in particular may limit the number of mandates available to a proxy holder, provided that such restrictions do not jeopardise the proper and effective participation of the members in the decision-making process of the organisation.
