Article L4043-2 of the French Public Health Code

Unless otherwise provided for in the Articles of Association, an interprofessional ambulatory care company is not dissolved by the death, incapacity or withdrawal from the company of a partner for any other reason. Nor is it dissolved if one of the partners is definitively banned from practising his profession.

A partner who is permanently disqualified from practising his profession loses his status as a partner on the date of such disqualification. His shares in the capital shall then be bought back within six months by a partner or, failing that, by the company in accordance with the procedures laid down in the Articles of Association.

Sauf dispositions contraires des statuts, la société interprofessionnelle de soins ambulatoires n’est pas dissoute par le décès, l’incapacité ou le retrait de la société d’un associé pour toute autre cause. Elle n’est pas non plus dissoute lorsqu’un des associés est frappé de l’interdiction définitive d’exercer sa profession.

L’associé frappé d’une interdiction définitive d’exercer sa profession perd, au jour de cette interdiction, la qualité d’associé. Ses parts dans le capital sont alors rachetées dans un délai de six mois par un associé ou, à défaut, par la société selon les modalités prévues par les statuts.
