The Board’s decisions are adopted by a majority of the votes of the members present or represented.
The Chairman and the members of the Board of Directors mentioned in 1° bis, 3°, 4°, 5°, 6°, 7° and 8° of I of article R. 1413-3 each have one vote.
The representatives of the Minister for Health each have ten votes, the representative of the Minister for the Budget has four votes, the representatives of the other ministers mentioned in 1° of I of article R. 1413-3 each have two votes and the representative of the compulsory health insurance schemes has three votes.
The Board of Directors may only validly deliberate if at least half of its members in office, holding at least half of the votes, are present. If this quorum is not reached, the Board is reconvened within a maximum of fifteen days. It shall then validly deliberate on the matters on the previous agenda, regardless of the number of directors present.
If the Chairman is unable to attend, the Board of Directors appoints a Chairman for the meeting.
In the event of a tie, the Chairman has the casting vote.
When not deputised, a member of the Board of Directors may give a mandate to another member. No member may hold more than two proxies.
When the Board of Directors sits in a restricted formation, the Chairman and the representatives of the Ministers for Health and Social Action, Defence and the Budget, as well as the representative of the compulsory health insurance schemes, have the same number of votes as they have in the plenary formation of the Board.
