Article R1413-6 of the French Public Health Code

In the event of a seat becoming vacant as a result of the permanent incapacity of its holder or the loss by a member of the capacity in respect of which he has been appointed, a new member shall be appointed under the conditions laid down in article R. 1413-4. The term of office of this member thus appointed expires at the same time as that of the other members of the Board of Directors, with the exception of the member appointed to replace one of the members mentioned in 1°a of article R. 1413-3, whose term of office expires under the conditions provided for in the first paragraph of article R. 1413-4. In the same circumstances, the staff representatives are replaced under the conditions laid down in the internal regulations.

En cas de vacance d’un siège du fait de l’empêchement définitif de son titulaire ou de la perte par un membre de la qualité au titre de laquelle il a été désigné, il est procédé à la désignation d’un nouveau membre dans les conditions prévues à l’article R. 1413-4. Le mandat de ce membre ainsi nommé expire en même temps que celui des autres membres du conseil d’administration, à l’exception de celui nommé en remplacement d’un des membres mentionnés au 1° bis de l’article R. 1413-3, dont le mandat prend fin dans les conditions prévues au premier alinéa de l’article R. 1413-4. Dans ces mêmes circonstances, les représentants du personnel sont remplacés dans les conditions prévues par le règlement intérieur.
