Article R322-106-11 of the French Insurance Code

On pain of nullity, the companies participating in a merger operation are required to file a declaration with the clerk of the judicial court in which, on the one hand, they describe all the acts carried out with a view to carrying out the merger and, on the other hand, they certify that the operation has been carried out in accordance with the laws and regulations in force.

A peine de nullité, les sociétés participant à une opération de fusion sont tenues de déposer au greffe du tribunal judiciaire une déclaration dans laquelle, d’une part, elles relatent tous les actes accomplis en vue d’y procéder et, d’autre part, elles certifient que l’opération a été réalisée conformément aux lois et règlements en vigueur.
