Article R322-110 of the French Insurance Code

The articles of association of the association must provide that :

1° The members of the board of directors or the supervisory board of the association must be chosen from among the managers, directors or members of the supervisory board of the companies belonging to the association;

2° General meetings are composed of all the companies belonging to the association, each represented exclusively by one of its managers, directors or members of the supervisory board, duly authorised;

3° Notice of the general meeting must be given by registered letter or by electronic registered letter sent to the companies forming part of the association at least fifteen days before the date fixed for the meeting;

4° (paragraph repealed).

5° Questions communicated by at least three companies belonging to the association no later than twenty days before the General Meeting must be included on the agenda.

Article R322-110

Les statuts des unions doivent prévoir que :

1° Les membres du conseil d’administration ou du conseil de surveillance des unions sont choisis obligatoirement parmi les gérants, administrateurs ou membres du conseil de surveillance des sociétés qui en font partie ;

2° Les assemblées générales sont composées de toutes les sociétés faisant partie de l’union, représentées chacune exclusivement par un de ses gérants, administrateurs ou membres du conseil de surveillance dûment mandaté ;

3° La convocation à l’assemblée générale doit être faite par lettre recommandée ou par envoi recommandé électronique adressé aux sociétés faisant partie de l’union, quinze jours au moins avant la date fixée pour la réunion de l’assemblée ;

4° (paragraphe abrogé).

5° Les questions communiquées par trois sociétés au moins faisant partie de l’union, vingt jours au plus tard avant la réunion de l’assemblée générale, doivent être inscrites à l’ordre du jour.
