Article R322-120-3 of the French Insurance Code

The number of directors of the central body referred to in Article L. 322-27-1, who are elected by the General Meeting on the recommendation of the Board of Directors in accordance with the third paragraph of that Article, shall be at least one quarter of the total number of directors of that central body, but may not exceed one third of that total.

The Articles of Association of the central body may provide for the Board of Directors to allocate remuneration to these directors for the performance of their duties, the amount of which is determined by the Board within the limits set by the General Meeting.

Le nombre des administrateurs de l’organe central mentionné à l’article L. 322-27-1, qui sont, en vertu des dispositions du troisième alinéa de ce même article, élus par l’assemblée générale sur proposition du conseil d’administration, est d’au moins un quart du total des administrateurs de cet organe central, sans pouvoir excéder un tiers de ce total.

Les statuts de l’organe central peuvent prévoir la possibilité pour le conseil d’administration d’allouer à ces administrateurs une rémunération pour l’exercice de leur mandat, dont le montant est déterminé par ce conseil dans les limites fixées par l’assemblée générale.
