The Managing Director, the Deputy Managing Director(s) and the members of the Management Board effectively manage the company within the meaning of article L. 322-3-2.
The Board of Directors or the Supervisory Board may also designate one or more natural persons, who are not mentioned in the previous paragraph, in particular the Chairman of the Board of Directors, as effective managers. These persons must have a sufficiently broad area of competence and powers over the company’s activities and risks, must be sufficiently available within the company to perform this role, and must be involved in decisions with a significant impact on the company, particularly with regard to strategy, the budget or financial matters. The Board of Directors or the Supervisory Board may withdraw this function.
The board of directors or the supervisory board shall define the cases in which the effective directors are absent or prevented from acting, so as to guarantee the continuity of the effective management of the company.
