The General Meeting, deliberating as provided below, may amend all provisions of the Articles of Association. It may not, however, change the nationality of the company, reduce its liabilities or increase the liabilities of member-policyholders arising from current contracts, except in the event of an increase in taxes and duties the recovery of which from member-policyholders is not prohibited and subject to the provisions of the following paragraph.
Amendments to the Articles of Association replacing the fixed contribution with a variable contribution are applicable to current policies, notwithstanding any clause to the contrary, at least one month after the policyholders have been notified in the manner provided for in Article R. 322-66. However, in the month following this notification, the policyholder has the right to cancel the contracts he has taken out with the company, under the conditions set out in the second and third paragraphs of article R. 113-10.
The General Meeting can only validly deliberate if the number of its members present, represented or having made use of the postal voting option when this is provided for in the Articles of Association, is at least equal to one third of the total number of members.
If, when first convened, the General Meeting does not have the quorum set out in the previous paragraph, a second General Meeting may be convened, which shall deliberate validly if the number of its members present, represented or having made use of the option of voting by correspondence when this is provided for in the Articles of Association, represents at least one quarter of the total number of members. If this quorum is not reached, the second meeting may be adjourned to a date no more than two months after the date on which it was convened. It shall then be decided by a majority of two-thirds of the members present, represented or having used their postal vote.
In order to be valid, resolutions at the General Meetings referred to in this article must always receive at least two-thirds of the votes of the members present, represented or having made use of the option to vote by post.
