The Statutory Auditors are invited, at the same time as the directors or members of the Management Board, to the meeting of the Board of Directors or the Management Board which closes the accounts for the past financial year. They are also invited to attend all General Meetings, at the latest when the members are convened.
The Statutory Auditors may only convene a General Meeting after having unsuccessfully requested that it be convened by the Board of Directors or the Management Board by registered letter with acknowledgement of receipt. If the Statutory Auditors disagree on the appropriateness of convening the General Meeting, one of them may ask the President of the Court of First Instance, ruling in summary proceedings, for authorisation to convene the meeting, with the other Statutory Auditors and the Chairman of the Board of Directors or the Executive Board duly summoned.
The President of the Commercial Court, acting in summary proceedings, may authorise the Statutory Auditors to be provided with documents held by third parties who have carried out transactions on behalf of the Company.
