The Board may only deliberate if more than half of its members in office are present.
If the quorum is not reached, a new convocation is sent out with a minimum of three days’ notice.
The deliberation is then valid regardless of the number of members present.
Decisions of the Board of Directors are taken by a majority of the votes cast.
In the event of a tied vote, the Chairman has the casting vote.
