Article R522-25 of the French Commercial code

The procedure for disposing of the general shop provided for in the third paragraph of article L. 522-39 shall be initiated within three months of the decision by the Prefect to permanently withdraw approval. The property may be sold either by auction or out of court. However, it may not be carried out by amicable agreement when the turnover achieved in the general shop during the previous financial year exceeds a sum set by the Minister responsible for industry.

Only those persons authorised by the prefect may take part in the auction or acquire the establishment by mutual agreement.

La procédure d’aliénation du magasin général prévue au troisième alinéa de l’article L. 522-39 est engagée dans les trois mois de la décision du retrait d’agrément à titre définitif prise par le préfet. Cette aliénation peut être opérée soit par adjudication, soit par voie de cession amiable. Toutefois, il ne peut être procédé à l’amiable lorsque le chiffre d’affaires réalisé dans le magasin général au cours de l’exercice précédent dépasse une somme fixée par le ministre chargé de l’industrie.

Seules peuvent se présenter à l’adjudication ou acquérir l’établissement à l’amiable les personnes qui y sont autorisées par le préfet.
