Article R752-38 of the French Commercial code

An opinion or decision is adopted by a majority of the members present. In the event of a tie, the Chairman shall have the casting vote.

The opinion or decision shall state the reasons on which it is based, shall be signed by the Chairman and shall indicate the number of votes in favour and against as well as the number of abstentions.

When this opinion or decision is favourable, a table summarising the characteristics of the project mentioned in article R. 752-44 is attached. The model for this table is set by order of the Minister for the Economy.

Article R752-38

L’avis ou la décision est adopté à la majorité des membres présents. En cas de partage égal des voix, la voix du président est prépondérante.

L’avis ou la décision est motivé, signé par le président et indique le nombre de votes favorables et défavorables ainsi que le nombre d’abstentions.

Lorsque cet avis ou décision est favorable, y est joint le tableau récapitulatif des caractéristiques du projet mentionnées à l’article R. 752-44. Le modèle de ce tableau est fixé par arrêté du ministre chargé de l’économie.
