Article R823-10 of the French Consumer Code

The deliberations of the Board of Directors relating to the objects mentioned in 6°, 7°, 8°, 10°, 11° and 16° of article R. 823-7 are enforceable only after they have been approved by the Minister for Industry and the Minister for the Budget. The decisions referred to in 4° and 5° are enforceable under the conditions set out in Title III of Decree no. 2012-1246 of 7 November 2012 on public budgetary and accounting management. The other deliberations are enforceable by operation of law if the Government Commissioner mentioned in article R. 823-9 has not objected to them within ten days of either the Board meeting if he attended it, or receipt of the minutes of the meeting.

If the Government Commissioner lodges an objection, he shall immediately refer the matter to the Minister for Industry, who shall give a ruling within one month. In the absence of an express decision within this period, the deliberation is enforceable.

The Board is informed of the Government Commissioner’s objection.

Les délibérations du conseil d’administration portant sur les objets mentionnés aux 6°, 7°, 8°, 10°, 11° et 16° de l’article R. 823-7 ne sont exécutoires qu’après avoir été approuvées par le ministre chargé de l’industrie et le ministre chargé du budget. Les délibérations mentionnées aux 4° et 5° sont exécutoires dans les conditions prévues par le titre III du décret n° 2012-1246 du 7 novembre 2012 relatif à la gestion budgétaire et comptable publique. Les autres délibérations sont exécutoires de plein droit si le commissaire du Gouvernement mentionné à l’article R. 823-9 n’y a pas fait opposition dans les dix jours qui suivent, soit la réunion du conseil s’il a assisté à celle-ci, soit la réception du procès-verbal de la séance.

Dans le cas où il forme opposition, le commissaire du Gouvernement en réfère immédiatement au ministre chargé de l’industrie qui se prononce dans un délai d’un mois. A défaut de décision expresse dans ce délai, la délibération est exécutoire.

Le conseil est informé de l’opposition du commissaire du Gouvernement.
