The Board of Directors may only validly deliberate if at least eleven members are present or represented. If a member of the Board of Directors is unable to attend, he may be represented by another member appointed or elected in the same capacity as him, but the latter may not hold more than one proxy at any one meeting.
If the quorum provided for in the first paragraph is not reached, the decisions taken following a new convocation, within a period of twenty days, are valid without the quorum requirement.
Decisions are taken by a majority of the votes cast by the members present or represented; in the event of a tie, the Chairman has the casting vote.
The Chairman may also invite to attend meetings in an advisory capacity any person whose presence he deems useful for the study of a particular point on the agenda.
The deliberations are the subject of minutes signed by the Chairman and notified to the members, the Government Commissioner and the member of the General Economic and Financial Control body within two weeks of the meeting.
