Article L2261-14-2 of the French Labour Code

Whenever a merger, transfer, demerger or any other legal change is envisaged which would have the effect of calling into question an agreement or arrangement, the employers of the undertakings concerned and the trade union organisations representing the employees in the undertaking employing the employees whose employment contracts are likely to be transferred may negotiate and conclude the substitution agreement or arrangement provided for in the first paragraph of Article L. 2261-14.

The duration of this agreement may not exceed three years. The agreement or arrangement comes into force on the date of the event that led to the transfer being called into question and applies to the exclusion of the stipulations relating to the same subject of the agreements and arrangements applicable in the undertaking or establishment to which the employment contracts are transferred.

Upon expiry of this agreement or arrangement, the agreements and arrangements applicable in the undertaking or establishment to which the employees’ employment contracts have been transferred apply to these employees.

Dès lors qu’est envisagée une fusion, une cession, une scission ou toute autre modification juridique qui aurait pour effet la mise en cause d’une convention ou d’un accord, les employeurs des entreprises concernées et les organisations syndicales de salariés représentatives dans l’entreprise qui emploie les salariés dont les contrats de travail sont susceptibles d’être transférés peuvent négocier et conclure la convention ou l’accord de substitution prévu au premier alinéa de l’article L. 2261-14.

La durée de cette convention ou de cet accord ne peut excéder trois ans. La convention ou l’accord entre en vigueur à la date de réalisation de l’événement ayant entraîné la mise en cause et s’applique à l’exclusion des stipulations portant sur le même objet des conventions et accords applicables dans l’entreprise ou l’établissement dans lequel les contrats de travail sont transférés.

A l’expiration de cette convention ou de cet accord, les conventions et accords applicables dans l’entreprise ou dans l’établissement dans lequel les contrats de travail des salariés ont été transférés s’appliquent à ces salariés.
