Article L2261-14 of the French Labour Code

Where the application of an agreement or arrangement is called into question in a given undertaking, in particular as a result of a merger, transfer, demerger or change of activity, that agreement or arrangement shall continue to have effect until the entry into force of the agreement or arrangement which replaces it or, failing that, for a period of one year from the expiry of the notice period provided for in Article L. 2261-9, unless a clause provides for a longer period.

Where the agreement or arrangement which has been called into question has not been replaced by a new agreement or arrangement within the period set out in the first paragraph of this article, the employees of the undertakings concerned benefit from a guaranteed remuneration, the annual amount of which, for a working time equivalent to that provided for in their contract of employment, may not be less than the remuneration paid, in application of the agreement or arrangement which has been called into question, during the last twelve months. This guaranteed remuneration is understood within the meaning of Article L. 242-1 of the Social Security Code, with the exception of the first sentence of the second paragraph of the same Article L. 242-1.

This guarantee of remuneration may be ensured by the payment of a differential indemnity between the amount of remuneration that was due to the employee by virtue of the disputed agreement and his contract of employment and the amount of the employee’s remuneration resulting from the new agreement, if any, and his contract of employment.

Where the challenge concerns a fixed-term agreement, the second paragraph of this article :

1° Applies until the end date that would have been the end date of the agreement if it had not been called into question, if this end date is later than the date on which the agreement called into question ceases to have effect in application of the first paragraph;

2° Does not apply if this term is prior to the date on which this agreement ceases to have effect in application of the first paragraph.

New negotiations must begin in the company concerned, at the request of one of the interested parties, within three months of the agreement being called into question, either to adapt it to the newly applicable collective bargaining provisions, or to draw up new stipulations.

Article L2261-14

Lorsque l’application d’une convention ou d’un accord est mise en cause dans une entreprise déterminée en raison notamment d’une fusion, d’une cession, d’une scission ou d’un changement d’activité, cette convention ou cet accord continue de produire effet jusqu’à l’entrée en vigueur de la convention ou de l’accord qui lui est substitué ou, à défaut, pendant une durée d’un an à compter de l’expiration du délai de préavis prévu à l’article L. 2261-9, sauf clause prévoyant une durée supérieure.

Lorsque la convention ou l’accord qui a été mis en cause n’a pas été remplacé par une nouvelle convention ou un nouvel accord dans le délai fixé au premier alinéa du présent article, les salariés des entreprises concernées bénéficient d’une garantie de rémunération dont le montant annuel, pour une durée de travail équivalente à celle prévue par leur contrat de travail, ne peut être inférieur à la rémunération versée, en application de la convention ou de l’accord mis en cause, lors des douze derniers mois. Cette garantie de rémunération s’entend au sens de l’article L. 242-1 du code de la sécurité sociale, à l’exception de la première phrase du deuxième alinéa du même article L. 242-1.

Cette garantie de rémunération peut être assurée par le versement d’une indemnité différentielle entre le montant de la rémunération qui était dû au salarié en vertu de la convention ou de l’accord mis en cause et de son contrat de travail et le montant de la rémunération du salarié résultant de la nouvelle convention ou du nouvel accord, s’il existe, et de son contrat de travail.

Lorsque la mise en cause concerne une convention ou un accord à durée déterminée, le deuxième alinéa du présent article :

1° S’applique jusqu’au terme qui aurait été celui de la convention ou de l’accord en l’absence de mise en cause si ce terme est postérieur à la date à laquelle la convention ou l’accord mis en cause cesse de produire ses effets en application du premier alinéa ;

2° Ne s’applique pas si ce terme est antérieur à la date à laquelle cette convention ou cet accord cesse de produire ses effets en application du premier alinéa.

Une nouvelle négociation doit s’engager dans l’entreprise concernée, à la demande d’une des parties intéressées, dans les trois mois suivant la mise en cause, soit pour l’adaptation aux dispositions conventionnelles nouvellement applicables, soit pour l’élaboration de nouvelles stipulations.
