Article R1431-19 of the French General Code of Local Authorities

I. – A member of the public establishment for cultural or environmental cooperation may withdraw from it, provided that it has notified its intention to the board of directors of the establishment no later than 1st April of the year of its withdrawal. If the Board of Directors agrees to the withdrawal and its material and financial conditions, it is approved by the State representative. It takes effect on 31st December of the year in question.

II. – In the absence of an agreement between the withdrawing member and the establishment, the distribution of the assets or the proceeds of their realisation and the outstanding debt is carried out under the following conditions:

1° The movable and immovable assets made available to the establishment by the withdrawing member are returned to it at their net book value, with the additions made to these assets liquidated on the same basis. The outstanding debt relating to these assets is also returned to the withdrawing member;

2° The movable and immovable assets acquired by the establishment may be divided between the latter and the withdrawing member. The same applies to the proceeds of the realisation of such assets, occurring on this occasion. The outstanding debt relating to these assets is distributed under the same conditions.

III. – Allocation operations must take place no later than 30 September of the year following the withdrawal. Failing this, the distribution is carried out, in accordance with the terms specified in II, by order of the State representative.

I. – Un membre de l’établissement public de coopération culturelle ou environnementale peut se retirer de celui-ci, sous réserve d’avoir notifié son intention au conseil d’administration de l’établissement au plus tard le 1er avril de l’année de son retrait. En cas d’accord du conseil d’administration sur le retrait et ses conditions matérielles et financières, celui-ci est arrêté par le représentant de l’Etat. Il prend effet au 31 décembre de l’année considérée.

II. – A défaut d’accord entre le membre qui se retire et l’établissement, la répartition des biens ou du produit de leur réalisation et de l’encours de la dette est opérée dans les conditions suivantes :

1° Les biens meubles et immeubles mis à la disposition de l’établissement par le membre qui se retire lui sont restitués pour leur valeur nette comptable, avec les adjonctions effectuées sur ces biens liquidées sur les mêmes bases. L’encours de la dette afférente à ces biens est également restitué au membre qui se retire ;

2° Les biens meubles et immeubles acquis par l’établissement peuvent être répartis entre ce dernier et le membre qui se retire. Il en va de même pour le produit de la réalisation de tels biens, intervenant à cette occasion. L’encours de la dette relative à ces biens est réparti dans les mêmes conditions.

III. – Les opérations de répartition doivent intervenir au plus tard le 30 septembre de l’année suivant le retrait. A défaut, la répartition est réalisée, selon les modalités précisées au II, par arrêté du représentant de l’Etat.
