Article R2194-6 of the French Public procurement code

The contract may be modified when a new contractor replaces the initial contractor, in one of the following cases:
1° In application of a review clause or an option in accordance with the provisions of article R. 2194-1;
2° In the case of a transfer of the contract, following a restructuring operation of the initial contractor, provided that this transfer does not entail any other substantial changes and is not carried out with the aim of removing the contract from the advertising and competitive tendering obligations. The new contractor must meet the conditions laid down by the purchaser for participation in the award procedure for the original contract.

Le marché peut être modifié lorsqu’un nouveau titulaire se substitue au titulaire initial du marché, dans l’un des cas suivants :
1° En application d’une clause de réexamen ou d’une option conformément aux dispositions de l’article R. 2194-1 ;
2° Dans le cas d’une cession du marché, à la suite d’une opération de restructuration du titulaire initial, à condition que cette cession n’entraîne pas d’autres modifications substantielles et ne soit pas effectuée dans le but de soustraire le marché aux obligations de publicité et de mise en concurrence. Le nouveau titulaire doit remplir les conditions qui avaient été fixées par l’acheteur pour la participation à la procédure de passation du marché initial.
