Article R321-12 of the French Intellectual Property Code

I. – The collective management organisation requested by another organisation to ensure the management of multi-territorial exploitation authorisations in accordance with article L. 325-3 shall give a written response within one month, giving reasons if it is negative.

II. – The mandate given to one collective management organisation by another in accordance with article L. 325-3 results from the conclusion of a representation agreement between these two organisations. This agreement is non-exclusive.

III. – Within the period stipulated in the representation agreement, the agent organisation shall include the musical works of the principal organisation in all the offers it makes to online service providers.

It shall inform the mandating organisation of the main terms and conditions under which multi-territory exploitation authorisations for online rights in the latter’s musical works are granted, specifying the nature of the exploitation, the elements relating to the remuneration of these authorisations and those that may have an impact on this remuneration, the term of validity of the exploitation authorisations and the territories they cover.

IV. – The principal organisation shall inform its members of the main terms of the representation agreement, including its duration and the cost of the services provided by the agent organisation.

This information obligation also applies to right holders who are not members of the mandating organisation if they have a direct legal relationship with it in relation to the rights in question, by operation of law or contract.

Article R321-12

I. – L’organisme de gestion collective sollicité par un autre organisme pour assurer la gestion d’autorisations d’exploitation multiterritoriales conformément à l’article L. 325-3 donne une réponse écrite dans un délai d’un mois, qui est motivée si elle est négative.

II. – Le mandat donné à un organisme de gestion collective par un autre conformément à l’article L. 325-3 résulte de la conclusion d’un accord de représentation entre ces deux organismes. Cet accord est non exclusif.

III. – Dans le délai prévu par l’accord de représentation, l’organisme mandataire inclut les œuvres musicales de l’organisme mandant dans l’ensemble des offres qu’il propose aux prestataires de services en ligne.

Il informe l’organisme mandant des principales conditions auxquelles les autorisations d’exploitation multiterritoriales de droits en ligne sur les œuvres musicales de celui-ci sont octroyées, en précisant la nature de l’exploitation, les éléments relatifs à la rémunération de ces autorisations et ceux pouvant avoir une incidence sur cette rémunération, la durée de validité des autorisations d’exploitation et les territoires qu’elles couvrent.

IV. – L’organisme mandant informe ses membres des principaux termes de l’accord de représentation, y compris sa durée et le coût des services fournis par l’organisme mandataire.

Cette obligation d’information vaut aussi à l’égard des titulaires de droits non-membres de l’organisme mandant dès lors qu’ils ont une relation juridique directe avec lui relative aux droits en cause, par l’effet de la loi ou d’un contrat.
