Article R322-119-3 of the French Insurance Code

The draft terms of merger provided for in article R. 322-106-6 shall be filed at the town hall of the municipality in which the registered office of each of the participating companies or funds is located.

The formalities provided for in the first sentence of article R. 322-106-10 do not apply to the bodies mentioned in article L. 771-1 of the Rural and Maritime Fishing Code. In the event of a merger involving the creation of a new company or caisse, the merger takes effect on the date on which the articles of association of the company or caisse are filed with the town hall of its registered office.

The declaration provided for in article R. 322-106-11 is filed at the town hall of the municipality in which the head office of the acquiring or new company or caisse is located.

Le dépôt du projet de fusion prévu à l’article R. 322-106-6 est effectué à la mairie de la commune du siège social de chacune des sociétés ou caisses participantes.


Les formalités prévues à la première phrase de l’article R. 322-106-10 ne sont pas applicables aux organismes mentionnés à l’article L. 771-1 du code rural et de la pêche maritime. En cas de fusion par création d’une société ou caisse nouvelle, la fusion prend effet à la date du dépôt des statuts de la société ou caisse à la mairie de son siège social.


La déclaration prévue à l’article R. 322-106-11 est déposée à la mairie de la commune où est établi le siège de la société ou caisse absorbante ou nouvelle.
