Article R4113-69 of the French Public Health Code

As from the date he ceases his professional activity, a partner loses the rights attached to his status as a partner, with the exception, however, of remuneration relating to capital contributions and his share, if any, in the capital and in the reserves and capital gains; he ceases, as from the same date, to be subject to the incompatibilities and prohibitions attached to this status.

If a partner ceases to be a professional, the managing partner shall, at his own initiative, bring this to the attention of the Conseil Départemental de l’Ordre.

L’associé perd, à compter de sa cessation d’activité, les droits attachés à sa qualité d’associé, à l’exception toutefois des rémunérations afférentes aux apports en capital et de sa part éventuelle dans le capital et dans les réserves et les plus-values d’actif ; il cesse à la même date d’être soumis aux incompatibilités et interdictions attachées à cette qualité.

La cessation d’activité professionnelle d’un associé est, à la diligence du gérant, portée à la connaissance du conseil départemental de l’ordre.
