Article R4413-5 of the French General Code of Local Authorities

The Board of Directors elects a chairman, vice-chairmen and, where applicable, the other members of the bureau each time a director is replaced pursuant to the provisions of the first paragraph of Article R. 4413-4.

It establishes internal regulations which set, in particular, the criteria for determining the order of appointment of vice-chairmen.

At the beginning of the first meeting it holds after each change in its composition provided for in the first paragraph, the Board of Directors, chaired by the oldest member, with the youngest member acting as secretary, shall elect the chairman, vice-chairmen and any other members of the bureau.

If the seat of Chairman of the Board of Directors falls vacant for any reason whatsoever, the duties of Chairman shall be temporarily performed by a Vice-Chairman in the order of appointment and, failing this, by a director appointed by the Board. The Executive Committee shall be renewed within one month, under the chairmanship of the oldest member, with the youngest member acting as secretary.

Le conseil d’administration élit un président, des vice-présidents et éventuellement les autres membres du bureau chaque fois qu’un administrateur est remplacé en application des dispositions du premier alinéa de l’article R. 4413-4.

Il établit un règlement intérieur qui fixe, notamment, les critères de détermination de l’ordre de nomination des vice-présidents.

Au début de la première réunion qu’il tient après chaque modification de sa composition prévue au premier alinéa, le conseil d’administration, sous la présidence du doyen d’âge, le plus jeune membre faisant fonction de secrétaire, procède à l’élection du président, des vice-présidents et éventuellement des autres membres du bureau.

En cas de vacance du siège de président du conseil d’administration pour quelque cause que ce soit, les fonctions de président sont provisoirement exercées par un vice-président, dans l’ordre des nominations et, à défaut, par un administrateur désigné par le conseil. Il est procédé au renouvellement du bureau dans le délai d’un mois, sous la présidence du doyen d’âge, le plus jeune membre faisant fonction de secrétaire.
