Article R521-9 of the French Commercial code

I. Where the sales or transfers of goodwill include pledged trademarks or service marks, industrial designs or models and software exploitation rights and where the pledges of such goodwill include patents for inventions or licences, trademarks or designs and software exploitation rights, the registrar shall issue a certificate of registration which shall include the following particulars:

I.
1° the nature, date and serial number of the registration made at the registry;

2° The form and date of the deed of sale or the deed constituting the pledge;

3° The identity and address of the secured creditor and the debtor;

4° The description of the business and the nature and references of the intellectual property titles concerned;

II.
II – Registration at the Institut National de la Propriété Industrielle of the lien resulting from the sale, assignment or pledge referred to in the first paragraph is carried out by transferring the registration certificate according to the nature of the titles concerned:

1° in the national register of patents, in the special national register of software or in the national register of trademarks, under the conditions laid down by the texts applicable to them;

2° In the national register of designs and models, at the request of one of the parties to the deed.

I. Lorsque les ventes ou cessions de fonds de commerce comprennent des marques de produits ou de services, des dessins ou modèles industriels et des droits d’exploitation de logiciels nantis et que les nantissements de ces fonds comprennent des brevets d’invention ou licences, des marques ou des dessins et modèles et des droits d’exploitation de logiciels, le greffier délivre un certificat d’inscription qui comprend les mentions suivantes :

1° La nature, la date et le numéro d’ordre de l’inscription effectuée au greffe ;

2° La forme et la date de l’acte de vente ou de l’acte constitutif du nantissement ;

3° L’identité et l’adresse du créancier nanti et du débiteur ;

4° La désignation du fonds de commerce ainsi que la nature et les références des titres de propriété intellectuelle concernés.

II.-L’inscription à l’Institut national de la propriété industrielle du privilège résultant de la vente ou de la cession ou du nantissement visés au premier alinéa s’effectue par report du certificat d’inscription selon la nature des titres concernés :

1° Au registre national des brevets, au registre national spécial des logiciels ou au registre national des marques, dans les conditions prévues par les textes qui leur sont applicables ;

2° Au registre national des dessins et modèles, à la demande de l’une des parties à l’acte.
