Article D211-43 of the French Sports Code

The Board of Directors meets at least twice a year and is convened by its Chairman, who sets the agenda.

The Board of Directors may only deliberate if at least half of its members are present. If the quorum is not reached, the Board of Directors is reconvened with the same agenda within a maximum of twenty-one days. It shall then deliberate validly, regardless of the number of members present.

Resolutions of the Board of Directors are adopted by a majority of the members present. In the event of a tie, the Chairman has the casting vote.

The Director of the school, the Deputy Director, the Accounting Officer, the Budget Controller and any other person whose opinion the Chairman deems useful shall attend the Board meeting in an advisory capacity. The Director may be accompanied by any person of his choice from the school.

Le conseil d’administration se réunit au moins deux fois par an sur convocation de son président qui fixe l’ordre du jour.

Le conseil d’administration ne peut délibérer que si la moitié au moins de ses membres est présente. Si le quorum n’est pas atteint, le conseil d’administration est à nouveau convoqué avec le même ordre du jour dans un délai maximum de vingt et un jours. Il délibère alors valablement, quel que soit le nombre de membres présents.

Les délibérations du conseil d’administration sont adoptées à la majorité des membres présents. En cas de partage égal des voix, la voix du président est prépondérante.

Le directeur de l’école, le directeur adjoint, l’agent comptable, le contrôleur budgétaire ainsi que toute personne dont il paraîtrait utile au président de recueillir l’avis participent au conseil d’administration avec voix consultative. Le directeur peut se faire accompagner par toute personne de son choix appartenant à l’établissement.
